D2Solar agreement enhances technology development in the United States

February 8, 2022: Smart building materials company ClearVue Technologies Limited (ASX:CPV OTC:CVUEF) (ClearView or the Company) is pleased to announce that it has officially engaged D2Solar by signing a Framework Services Agreement (MSA) for ongoing work on technology and product development.

The signing of the MSA establishes the framework for a long-term development partnership with D2Solar, extending the company’s long-term growth and market development strategies for its key territory of North America, with significant benefits. extending to markets all over the world.

The intent behind D2Solar’s commitment as a US component manufacturer is to ensure a stable and secure US-based product supply chain, which has become a key factor in decision-making. purchase in the main North American market.

The MSA provides for the completion of development work packages defined and defined in specific statements of work (or SOW). The MSA captures the development work already carried out by D2Solar within the framework of an initial specification.

The first statement of work includes development work undertaken with D2Solar between 2019 and 2021, including: development of prototypes demonstrating a 33% improvement in the energy performance of its Insulated Glass Unit (IGU) at 40 W (peak) per m² thanks to the design and other improvements announced to the market on May 7, 2020; and, the development of single and double glazed versions of its product designs, as announced on May 18, 2021.

In addition, the MSA provides for both parties to enter into an exclusive OEM supply agreement for D2Solar to manufacture certain ClearVue components once final manufacturing-ready products are agreed upon and tested against appropriate product certification standards. These components would be supplied to ClearVue for inclusion in finished products or for supply to ClearVue’s manufacturing and manufacturing licensees.

A second Statement of Work is currently under discussion and negotiation for an expanded scope of work. The second specification will include work on developing second and third generation ClearVue technologies and products, as well as refining single and double-glazed product types.

Additionally, ClearVue is in initial negotiations to co-locate the company’s US-based technical and engineering team into and/or adjacent to D2Solar’s California facility to improve product development timelines. and to ensure that a localized US technical team is in place and capable of supporting the Company’s sales and marketing efforts and providing after-sales service in North America.

Due to the specialized and highly technical nature of the development work undertaken by D2Solar, the company obtained a Prior and Overseas Discovery Certificate (No. OF01278) from AusIndustry in June 2021 to authorize research and development work. development undertaken by the company outside Australia. , in particular through D2Solar, to be claimed as part of the company’s annual R&D tax incentive application.

The Discovery Certificate allows the company to claim qualifying expenditure as part of its Australian R&D tax incentive claim for research and development work undertaken by the company in the United States through D2Solar. The certificate of finding extends to the company’s R&D tax incentive claim for fiscal year 2019/20 and (where development work is not completed in that fiscal year) for the following two fiscal years. The Company expects that a significant portion of the development costs of the development work in progress and the work that will be the subject of the second Specifications with D2Solar may be claimed.
